These Terms of Service ("Terms") govern your use of the website www.igniscs.com and any services provided by Ignis Consultancy Services Pvt Ltd ("Ignis", "we", "our", or "us"), a company incorporated in India.

By accessing our website or engaging our services, you confirm that you have read, understood, and agree to these Terms. If you are entering into these Terms on behalf of a company or organisation, you represent that you have the authority to bind that entity.

Your use of this website constitutes acceptance of these Terms and our Privacy Policy. These Terms apply to all visitors, clients, and users of our website and services.

We reserve the right to modify these Terms at any time. Continued use of our website or services after changes are posted constitutes your acceptance of the revised Terms.

Services We Provide

Ignis Consultancy Services offers the following professional services:

• Marketplace consulting — strategy, listing optimisation, account management, and advertising across Amazon, Walmart, eBay, Temu, Etsy, and other platforms
• E-commerce store development — Shopify, WooCommerce, and custom storefronts
• Web and custom application development
• Mobile application development (iOS and Android)
• UI/UX design and user experience consulting
• Search engine optimisation (SEO)
• Social media marketing and content strategy
• Pay-per-click (PPC) advertising management
• Logo design and brand book creation

The specific scope, deliverables, timelines, and pricing for any engagement are defined in a separate Statement of Work (SOW) or service agreement provided to the client.

Engagement & Agreements

All service engagements commence upon:

• Written confirmation of scope and pricing via email or a signed proposal
• Receipt of any agreed-upon advance or initial payment

Verbal agreements do not constitute a binding engagement. Any changes to scope, timelines, or deliverables must be agreed to in writing by both parties.

Fees & Payment

Fees for our services are outlined in the individual proposal or SOW provided to each client. Unless stated otherwise:

• Project-based work requires a minimum 50% advance payment before work commences, with the balance due upon completion or delivery
• Monthly retainer services are invoiced at the beginning of each billing period
• Invoices are payable within 14 days of issuance unless otherwise agreed
• Late payments may attract interest at 1.5% per month on the outstanding amount
• All fees are quoted exclusive of applicable taxes (including GST where applicable)

We reserve the right to pause or suspend work on any project where invoices remain unpaid beyond the agreed payment terms.

Client Responsibilities

To enable us to deliver our services effectively, clients agree to:

• Provide accurate, complete, and timely information required for the engagement
• Grant necessary access to platforms, accounts, and systems as agreed
• Review and provide feedback on deliverables within the agreed turnaround timeframes
• Obtain and maintain all necessary licences, permissions, and rights for content or materials provided to us
• Ensure that all materials supplied (images, text, data) do not infringe upon the intellectual property rights of third parties
• Promptly communicate any changes to business goals, strategy, or constraints that may affect the engagement

Delays caused by the client's failure to fulfil these responsibilities may affect delivery timelines and are not attributable to Ignis.

Intellectual Property

Work product ownership

Upon receipt of full payment for a project, all original creative work and deliverables produced specifically for the client — including designs, code, and written content — are assigned to the client. This assignment does not include third-party tools, libraries, or platforms used to produce the work.

Ignis intellectual property

Our website content, methodologies, frameworks, templates, and proprietary processes remain the sole property of Ignis Consultancy Services Pvt Ltd. Clients may not reproduce, distribute, or commercialise any Ignis-owned material without prior written consent.

Portfolio rights

Unless expressly agreed otherwise in writing, Ignis reserves the right to reference the client relationship and display completed work (e.g. website screenshots, campaign results) in our portfolio and marketing materials.

Confidentiality

Both parties agree to treat as confidential any non-public business information shared during the engagement ("Confidential Information"). This includes business strategies, financial data, customer information, and proprietary processes.

Neither party will disclose Confidential Information to any third party without prior written consent, except where required by law or where the information is already publicly available through no fault of the receiving party.

This obligation of confidentiality survives the termination of any engagement or these Terms.

Limitation of Liability

To the maximum extent permitted by applicable law, Ignis Consultancy Services Pvt Ltd shall not be liable for:

• Any indirect, incidental, consequential, or punitive damages arising from the use of our services
• Loss of revenue, profits, data, or business opportunities, even if we have been advised of the possibility of such losses
• Results or outcomes of marketplace advertising campaigns, SEO efforts, or digital marketing services, as these are subject to platform algorithms and external factors beyond our control
• Decisions made by marketplace platforms (e.g. account suspensions, listing removals) independent of our advice

Our total aggregate liability to any client in connection with any engagement shall not exceed the total fees paid by that client to Ignis in the three (3) months preceding the event giving rise to the claim.

Warranties & Disclaimers

We provide our services with reasonable skill and care in accordance with industry standards. However, we do not warrant that:

• Our services will achieve specific business outcomes, revenue targets, or performance metrics unless expressly guaranteed in a signed agreement
• Our website will be uninterrupted, error-free, or free from viruses or harmful components
• Any information on our website is complete, accurate, or current at all times

All content on this website is provided for informational purposes only and does not constitute professional legal, financial, or accounting advice.

Termination

Termination by the client

Clients may terminate an ongoing engagement by providing 30 days' written notice. All fees for work completed or in progress up to the date of termination remain payable.

Termination by Ignis

We reserve the right to suspend or terminate services with immediate effect if:

• Payment is not received within 30 days of the due date
• The client engages in conduct that is unlawful, abusive, or in breach of these Terms
• Continuing the engagement would require us to act in an illegal or unethical manner

Effect of termination

Upon termination, Ignis will deliver all work completed to date. Each party will return or destroy the other's Confidential Information. Provisions that by their nature should survive termination (including confidentiality, IP ownership, and liability limitations) will continue to apply.

Governing Law

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts located in India.

For international clients, we will make every effort to resolve disputes amicably before pursuing formal legal proceedings. Both parties agree to attempt good-faith negotiation for a minimum of 30 days before initiating any legal action.

Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by updating the "Last Updated" date on this page and, where appropriate, by email to active clients. Your continued use of our services after changes take effect constitutes acceptance of the revised Terms.
